Acceptance of Terms

By accessing or using the website affiliatedaata.com, or by engaging Affiliate Daata for any service, you agree to be legally bound by these Terms and Conditions, our Privacy Policy, and any additional terms applicable to specific services.

These terms apply to all visitors, prospective clients, and current clients. If you are entering into these terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

We reserve the right to modify these terms at any time. Updated terms will be posted on this page with a revised "Last updated" date. Continued use of our website or services after any modification constitutes acceptance of the revised terms.

Services Description

Affiliate Daata provides digital marketing services including, but not limited to, Lead Generation, Email Marketing, Search Engine Optimization (SEO), Pay-Per-Click Advertising (PPC), Social Media Marketing, and Display Advertising, as described on the Services page.

The specific scope, deliverables, timelines, and pricing for each engagement are defined in individual service agreements or statements of work agreed upon between Affiliate Daata and the client prior to commencement of services.

Affiliate Daata also provides white-label services to marketing agencies and freelancers. The terms governing such partnerships are set out in separate partnership agreements in addition to these general terms.

We reserve the right to modify, suspend, or discontinue any service or feature at any time, with reasonable notice to active clients.

Client Responsibilities

To enable Affiliate Daata to deliver services effectively, clients agree to fulfill the following responsibilities throughout the engagement.

Accurate information: Clients must provide accurate, complete, and current business information including company details, target audience data, existing asset access, and any other information requested during onboarding.

Timely approvals: Clients agree to review and respond to approval requests for campaign assets, copy, creative, and strategy documents within the timelines specified in the service agreement. Delays in approvals may affect campaign launch dates and performance outcomes.

Platform access: Clients must grant the necessary access to advertising accounts, CRM platforms, analytics tools, and any other systems required to deliver the agreed services. Access must be granted prior to the agreed campaign start date.

Legal compliance: Clients are responsible for ensuring that all products, services, and business activities being promoted comply with applicable laws and platform advertising policies. Affiliate Daata is not liable for account suspensions or policy violations arising from the client's business activities.

Intellectual Property

Client-owned deliverables: All campaign assets, ad creative, copy, landing pages, email sequences, and reports produced specifically for a client engagement become the intellectual property of the client upon receipt of full and final payment for the relevant billing period.

Affiliate Daata proprietary assets: Our internal methodologies, campaign frameworks, optimization playbooks, proprietary tracking systems, template libraries, and internal tools remain the exclusive intellectual property of Affiliate Daata and are not transferred to clients under any circumstances.

Third-party assets: Any third-party assets (stock images, licensed fonts, platform tools) used in client deliverables are governed by the respective third-party licenses. The client is responsible for ensuring continued compliance with those licenses after delivery.

Portfolio use: Affiliate Daata reserves the right to reference client engagements in anonymized case studies and general portfolio descriptions unless the client requests otherwise in writing prior to engagement commencement.

Confidentiality

Both Affiliate Daata and the client agree to treat as confidential all non-public information exchanged in the course of an engagement or partnership discussion. This includes, but is not limited to, business strategies, pricing information, campaign data, proprietary processes, client lists, financial information, and any material marked as confidential.

Neither party will disclose confidential information to any third party without the prior written consent of the other party, except as required by applicable law or legal process. In the event of a legally required disclosure, the disclosing party will notify the other party promptly and cooperate to seek appropriate protective measures.

Confidentiality obligations survive the termination of any service agreement for a period of two years from the date of termination.

Limitation of Liability

Affiliate Daata makes no guarantees of specific campaign results, revenue outcomes, lead volumes, rankings, or return on investment. Digital marketing outcomes are influenced by market conditions, competitive dynamics, platform algorithm changes, budget levels, client-side factors, and numerous other variables outside our control.

We commit to applying industry-leading practices, continuous optimization, and transparent reporting, but specific performance guarantees are not possible and are not implied by any content on this website or in our communications.

Limitation: To the maximum extent permitted by applicable law, Affiliate Daata's total liability to any client for any claim arising from or related to our services is limited to the fees paid by that client in the specific billing period in which the claim arose.

Affiliate Daata is not liable for indirect, incidental, consequential, or punitive damages, including loss of profit, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Payment Terms

Specific payment schedules, rates, and billing structures are defined in individual service agreements. The following general terms apply to all engagements unless otherwise agreed in writing.

Invoice timing: Invoices are issued in accordance with the schedule defined in the service agreement, typically monthly in advance for retainer engagements or upon agreed milestones for project-based work.

Payment window: Payment is due within 14 days of invoice date unless otherwise specified in the service agreement.

Late payment: Invoices unpaid beyond 30 days of the due date may result in a pause or suspension of active campaign services. Affiliate Daata reserves the right to apply a late payment fee as specified in the service agreement.

Ad spend: Where Affiliate Daata manages advertising budgets on behalf of the client, ad spend is billed separately and must be maintained at sufficient levels to meet the agreed performance objectives. Affiliate Daata is not responsible for underperformance caused by insufficient ad budget.

Termination

Either party may terminate a service agreement by providing 30 days written notice to the other party. Notice must be delivered by email to the primary contact on record.

Work in progress: Any work completed or in progress at the time notice is given will be delivered and billed proportionally to the amount of work completed up to the termination date.

Ad accounts and assets: Upon termination and receipt of final payment, Affiliate Daata will transfer all campaign assets and provide access to any accounts managed on the client's behalf within 10 business days.

Immediate termination: Either party may terminate the agreement immediately in the event of a material breach that is not remedied within 14 days of written notice of the breach. Examples include non-payment, fraudulent activity, or violation of platform terms of service by the client.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these terms, or from any service agreement with Affiliate Daata, will be subject to the exclusive jurisdiction of the courts of New Delhi, India.

Both parties agree to attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings. If negotiation fails, disputes will be referred to formal mediation before litigation is pursued.
